If a single-member LLC is owned by someone who isn’t a US citizen or US resident, the IRS wants Form 5472 each year, filed with a pro forma 1120 by April 15.
Who files Form 5472, and what it costs
ITIN introduction, in the Formation bundle: if you personally need a US taxpayer number, we connect you with an IRS acceptance agent.
With the Formation bundle, we introduce you to Bluevine or Airwallex once your EIN arrives, your formation documents and EIN letter attached. Each partner decides who it accepts.
We may be paid a referral fee. Your price does not change.
Days. Pay and finish your company file, the short form after checkout, by 3pm ET on a business day and we file that day; later, the next business day. The certificate comes back once the state approves it. The EIN follows: days with a Social Security number, 4 to 8 weeks without.
A few minutes at checkout: your email, the country you live in, whether you have a US Social Security number, and the company’s name. After you pay, a three-minute company file: the address, who runs it, who signs. With the bundle’s address, one more step that week: Form 1583, checked against two IDs on a video call in your time zone, or at our desk.
Ask within 14 days of the charge and our fee comes back, no questions asked. Any state fee we have not yet paid to the state comes back too, and the window ends once a filing you asked for has gone to the state, or once an EIN or S corporation election has been filed with the IRS. After the 14 days, the service runs to the end of the period you paid for.
Because we’re here: the filing, the agent, the address and the tax registration sit under one roof, with one team that answers. Investors sometimes ask for Delaware, and we form there as well. Form in one state and run the company from another, and the second state usually wants it registered too, with its own fee.
Usually where the company works, and we form in every state. Just the LLC is $218 the first year in another state, with an SSN, including our agent, plus that state’s fee at cost. The filing is one time. The agent renews at $89 a year, if you stay.
Most New York LLCs must publish a notice in two newspapers chosen by the county clerk, once a week for six weeks, then file proof within 120 days after the articles of organization take effect. The newspapers set their own charges. New York charges $50 to file the proof. These costs are separate from the formation charge.
Some states require one, New York among them. Either way, yours is included: a single-member operating agreement, ready to sign, in your documents the day we file.
It follows who owns the LLC, not the SSN: the rule is under the two cards above. US resident here means a US tax resident: green card holders, and people who meet the IRS’s days-in-the-US test. It is due even with zero revenue, and the IRS penalty for missing it is $25,000 a form. We don’t prepare tax returns: a US tax preparer files it, usually $300 to $600 a year, and in January we introduce you to one. Tell us at checkout or in your account and we remind you before it is due.
If Iowa rejects the name, the rename is free. A second state fee is ours only when the rejection was our mistake; otherwise you pay it at cost.
Yes. Either the same LLC moves, where both states allow it, or you form in the new state and close this one. We tell you which fits, and the price, before anything is filed. Forming in another state is $218 the first year with an SSN, including our agent. The filing is one time. The agent renews at $89 a year, if you stay. Closing in New Jersey is $49. State fees are extra, at cost.
